These terms describe the contract between you (the “Agency” or “you”) and Deep AI Solutions Inc, a Texas corporation (“Deep AI Solutions,” “we,” or “us”), when you access deepinsurance.tech or any associated subdomain (the “Site”) or engage DeepInsurance — AI Retrieval Intelligence for independent insurance agencies (together, the “Services”). By using the Site or the Services you agree to these terms.
1. What DeepInsurance is, and what it is not
DeepInsurance is a marketing-technology product of Deep AI Solutions Inc. It is not an insurance agency, agent, producer, broker, solicitor, managing general agent, or adjuster. Deep AI Solutions holds no license or certificate of authority from the Texas Department of Insurance or any other insurance regulator. We do not sell, solicit, or negotiate insurance; we do not receive or transmit applications for insurance; we do not handle, adjust, advocate, or advise on claims; and nothing on the Site, in a scan result, or in any report we produce is insurance advice, a coverage recommendation, an offer of insurance, or a solicitation to buy insurance.
“DeepInsurance” is a product brand, not a separate legal entity and not an insurer. The contracting party is always Deep AI Solutions Inc. We are not affiliated with, endorsed by, sponsored by, or approved by any insurance carrier, the Texas Department of Insurance, the NAIC, or any government agency. Any third-party marks appearing on the Site belong to their owners and are shown for identification only.
2. Eligibility — licensed agencies only
You must be at least 18 years old and able to form a binding contract. The Services are sold exclusively to insurance agencies holding an active, in-good-standing producer license in each state where they transact. You represent that you hold such a license, and you agree to notify us promptly if it lapses, is suspended, or is revoked. The Services are not directed to consumers acting in a personal capacity.
3. The Services
Deep AI Solutions provides software and consulting services designed to measure and improve how generative AI systems (including ChatGPT, Gemini, Claude, Perplexity, Copilot, and Siri) retrieve, cite, and recommend an insurance agency. The Services include the AI visibility audit, entity engineering, citation architecture, retrieval monitoring, Geographic Exclusivity Zone management, and related research, tooling, and reports.
We may add, modify, or discontinue any Service feature at any time, and where a paid subscription is materially affected by such a change we will give written notice.
4. Advertising compliance — who is responsible for what
Content we draft or optimize that is published under your agency’s name is your insurance advertising. You are the advertiser of record. That content is governed by the Texas Insurance Code and by the Texas Department of Insurance advertising rules at 28 TAC Chapter 21, Subchapter B, which require advertising to be truthful and not misleading in fact or by implication, judged by the overall impression it creates.
- You retain final review and approval of every asset before it is published. Nothing goes live without your sign-off.
- Carrier-naming content requires insurer approval. Under 28 TAC §21.122, an advertisement that names an insurer must be filed with that insurer’s home office for written approval before use. Obtaining that approval is your obligation, and you will not publish carrier-naming content we prepare until you have it.
- We do not provide legal or insurance-compliance review. We are not your lawyer and not your compliance department.
- No rate, savings, or coverage claims will be published on your behalf without substantiation you supply.
5. Fees are flat, and never contingent on insurance sold
All fees for the Services are flat subscription or one-time fees for marketing services. Our compensation is never a share of commission, a per-bound-policy fee, a success fee, or any consideration contingent on a consumer’s purchase of insurance. This is a term of the contract, not a preference: Texas Insurance Code §4005.053 prohibits paying or accepting commission for acts performed as an agent without a license, and prohibits referral consideration based on a customer’s purchase of insurance.
6. Accounts
Browsing the Site does not require an account. Where the Service offers a customer account or dashboard, you agree to provide accurate registration information, keep credentials confidential, and notify us promptly of any unauthorized use.
7. Your content and the license you grant us
You retain ownership of the information, business data, and materials you submit (the “Agency Content”). You grant Deep AI Solutions a worldwide, royalty-free, non-exclusive license to host, process, and use Agency Content to provide and improve the Services for you and, in aggregated and de-identified form, for benchmarking and research. This license ends when we delete your Agency Content per the retention practices described in our Privacy Policy.
You will not submit consumer policyholder data, insurance applications, claims files, or protected health information to us. The Services do not require it and we do not want it.
8. AI-generated outputs, and what we cannot promise
Outputs from generative AI providers are probabilistic and can be incomplete, inaccurate, or out of date. They are produced by third parties we do not own, operate, index, or control, and they change without notice.
We therefore make no guarantee that any AI system will cite, recommend, rank, or mention your agency, at any level or at any time. Any measurement we report is a point-in-time observation of a third-party system, not a guaranteed or persistent state, and a single run is not a baseline. We likewise make no guarantee of lead volume, appointment volume, policies bound, premium written, or revenue. What we commit to is the work described in your program and the measured evidence of its effect, published to you either way.
You are responsible for reviewing AI-generated outputs before relying on them for a business decision. We do not use your Agency Content to train our own or third-party foundation models beyond the per-query inference calls necessary to deliver the Services.
9. What we will not do
The following are excluded from every program, at any price, and cannot be purchased as an add-on:
- Writing, generating, buying, soliciting, incentivizing, gating, suppressing, or posting consumer reviews or testimonials on any platform, on your behalf or our own. The FTC’s Rule on Consumer Reviews and Testimonials, 16 CFR Part 465, makes several of these unfair or deceptive acts outright, and the clean posture is a categorical refusal.
- Publishing any testimonial, case study, or result that misrepresents the reviewer’s existence, experience, or relationship to us.
- Any consumer-facing quote, application, or coverage-comparison flow under the DeepInsurance brand.
- Claims advocacy, claims handling, or public-adjuster services of any kind.
10. Acceptable use
You agree not to:
- Reverse engineer, scrape at industrial scale, or attempt to derive the source code, model prompts, or underlying methodology of the Services.
- Use the Services to harass, defame, or impersonate another business or person, including a competing agency or an insurer.
- Submit content or queries that violate any applicable law, a third party’s rights, or this acceptable-use section.
- Probe, scan, or test the vulnerability of our systems without prior written consent.
- Misuse our generated outputs to deceive a search engine, AI system, regulator, insurer, or consumer about who you are, what you are licensed to do, or what you offer.
- Attempt to circumvent Geographic Exclusivity Zone assignment (Section 12) by misrepresenting your business location, licensure, or ownership.
11. Fees, billing, and cancellation
This section governs paid subscriptions purchased through the Site’s checkout flow or an order form. If you have signed a separate Order Form, its commercial terms control over this section wherever the two conflict; this section fills any gap the signed document does not address.
- Billing cycle. Subscription Services bill monthly in advance, in U.S. dollars, unless you elect an annual commitment or your Order Form states otherwise.
- Auto-renewal. Subscriptions renew automatically each billing cycle until you cancel. We will not increase your then-current price mid-term without at least 30 days’ written notice.
- One-time fees. DeepFoundation and similar one-time fees are billed once, at purchase, and are non-recurring.
- Payment processing. Payments are processed by Stripe (via our banking partner, Bluevine) or another payment processor we designate.
- Cancellation. You may cancel a self-serve subscription at any time by emailing hello@deepaisolutions.com. Cancellation takes effect at the end of your current billing cycle and releases your Geographic Exclusivity Zone per Section 12.
- Refunds. Fees already paid for the current billing cycle are non-refundable except where required by law or expressly stated on the pricing page at the time of purchase.
12. Geographic Exclusivity
DeepInsurance is sold with a Geographic Exclusivity Zone — one insurance agency per ZIP code, per tier — using methodology covered by a pending U.S. patent application (Section 14). Exclusivity is a contractual commitment, not marketing language. Your Order Form carries a territory schedule naming the specific ZIP codes you hold, and while that schedule is in force we will not contract with another insurance agency for those codes.
- Assignment. Zones are reserved on a first-come, first-served basis at the time of purchase, per ZIP code and tier.
- Duration. A zone is held for the duration of your active, paid subscription.
- Release. The zone releases automatically upon cancellation, non-renewal, or termination, without further notice to you.
- No guarantee of availability or outcome. We do not guarantee a specific zone remains available at renewal, and exclusivity is not a guarantee of any AI-citation outcome, ranking, lead volume, or revenue result.
13. Intellectual property
The Site, the Services, our methodologies, our software, our research, and all related documentation (the “Deep AI IP”) are owned by Deep AI Solutions or its licensors and are protected by U.S. and international intellectual-property laws, including the patent rights described in Section 14. “Deep AI Solutions,” “DeepInsurance,” “AIR,” and “AIR Score” are trademarks of Deep AI Solutions Inc.

Deep AI Solutions’ methodology is the subject of the following U.S. patent applications, all held by Deep AI Solutions Inc and currently pending — no patent listed below has issued:

15. Third-party services
The Services measure and improve how your agency is retrieved and cited across publicly available generative AI assistants and search surfaces. The Services also rely on third-party infrastructure providers, including Stripe, Bluevine, Resend, and Vercel. Your use of any third-party platform is governed by that platform’s own terms. We do not control and are not responsible for the availability, content, or accuracy of any third-party platform, including the outputs of any AI system referenced in a report we provide you.
16. Privacy
Our Privacy Policy describes how we collect, use, and share information, and is incorporated into these terms by reference.
17. Termination
Either party may terminate a subscription as described in Section 11. We may also suspend or terminate your access immediately if you materially breach these terms, fail to pay fees when due, or cease to hold an active producer license. Sections 1, 4, 5, 8, 9, and 12 through 23 survive termination.
18. Disclaimers
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT ANY AI SYSTEM WILL CITE, RECOMMEND, OR RANK YOUR AGENCY AT ANY PARTICULAR LEVEL.
19. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DEEP AI SOLUTIONS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE OR THE SERVICES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS. THIS LIMITATION DOES NOT APPLY TO YOUR INDEMNIFICATION OBLIGATIONS, EITHER PARTY’S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD, OR ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
20. Indemnification
You agree to defend, indemnify, and hold harmless Deep AI Solutions, its officers, directors, employees, and contractors from and against any third-party claim arising out of your Agency Content, your publication of content without the approvals required by Section 4, your licensure or lack of it, your misuse of the Services, or your breach of these terms.
21. Dispute resolution; governing law and venue
These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these terms or the Services will be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the jurisdiction and venue of those courts. These terms do not include an arbitration agreement or class-action waiver — disputes proceed in court unless the parties separately agree otherwise in writing.
22. Modifications to these terms
We may update these terms from time to time. Material changes will be reflected by updating the “Last updated” date above and, where reasonable, by direct notice to active subscribers. Continued use of the Site after a change constitutes acceptance of the revised terms.
23. Miscellaneous
- Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control.
- Assignment. You may not assign these terms without our prior written consent.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.
- Entire agreement. These terms, our Privacy Policy, and any signed Order Form are the entire agreement between you and Deep AI Solutions regarding the Services.
